These terms of use (Terms) apply to your use of, and access to, our website located at www.actexs.com (Website) and our ActExs app (App) (together, the ActExs Services).

Please read these Terms carefully. By accessing or using the ActExs Services, you agree to be bound by these Terms. If you do not agree to all of these Terms, please do not use the ActExs Services. If you are using the ActExs Services on behalf of anyone else, you confirm to us that you have the authority to agree to these Terms on their behalf.

You should keep a copy of these Terms for your future reference. We will not file a copy of these Terms in relation to our agreement with you. Just to re-iterate, by using the ActExs Services you agree to be bound by these Terms.

We may update or amend these Terms from time to time to comply with law or to meet our changing business requirements without notice to you. Any updates or amendments will be posted on the ActExs Services, and where you are a registered user we will also notify you by appropriate means. By continuing to use the ActExs Services, you agree to be bound by the terms of these updates and amendments.

We are committed to safely and responsibly using your personal information. Please refer to our Privacy Policy for information on how we collect, use and disclose your personal information.

Registration and Passwords

To register for the ActExs Services, you need to sign up via the App. You will be asked to provide certain information when you register, which currently includes (amongst others) your name, your email, company and position.

You agree to: (i) provide accurate, current and complete registration information; (ii) maintain the security of your account password and identification; and (iii) promptly update us with any changes in your registration data.

You are responsible for maintaining the confidentiality of your account and are responsible for all activities that are carried out under it. We do not have the means to check the identities of people using the ActExs Services and will not be liable where your account is used by someone else. You agree to notify us immediately by email of any unauthorised use of your password or username of which you become aware.

User Content and Interactive Areas

All user generated content is accessible only by the user who has created it and in the current version of ActExs, the user generated content can’t be synced with another device.

We reserve the right to suspend, restrict or terminate your access to the ActExs Services at any time without notice if we have reasonable grounds to believe you have breached any of the restrictions above, or any other terms of these Terms.

Third Party Content and Links

We may provide third party advertising and links (via advertising or otherwise) to other websites from time to time on the ActExs Services, along with other content generated by third parties (together, Third Party Content). We do not control such Third Party Content and we are not responsible for its contents. Our inclusion of links does not mean that we endorse any of the material contained within Third Party Content or any association with its owners or operators.

You agree that we will have no part in any contract or transaction that you may enter into with a third party and we shall not be liable to you for any loss or damage which you suffer by using Third Party Content. You agree that you will not involve us in any dispute between you and any third party.

You may link to the Website, provided you do so in a way that is fair and legal and does not damage our reputation or take advantage of it, but you must not establish a link in such a way as to suggest any form of association, approval or endorsement on our part where none exists. You must not establish a link from any website that is not owned by you.

Our Website must not be framed on any other site, nor may you create a link to any part of our Website other than the home page. We reserve the right to withdraw linking permission without notice.

Intellectual Property and our Licence to You

We own or are licensed to use all present and future copyright, registered and unregistered trade marks, design rights, unregistered designs, database rights together with the ActExs Services design, text and graphics and their selection and arrangement, and all other present and future intellectual property rights and rights in the nature of intellectual property rights existing in or in relation to the ActExs Services and content (“IPR”). Nothing in these Terms grants you any ownership of the IPR, and you may only use it in accordance with these Terms

All rights in or relating to any third party branding, logos and registered and unregistered trade marks are owned by such third parties or their group companies. You are granted the right to use the ActExs Services in accordance with these Terms, You may also print off one copy, and may download extracts, of any page(s), from the ActExs Services (apart from Third Party Content) for your personal reference. You must not modify the paper or digital copies of any materials you have printed off or downloaded in any way, and you must not use any illustrations, photographs, video or audio sequences or any graphics separately from any accompanying text.

You must not use any part of the materials on the ActExs Services in any other way, including without limitation for any commercial purposes, public display or data mining without obtaining a licence to do so from us or our licensors. If you use the ActExs Services in breach of these Terms, your right to use the ActExs Services will cease immediately and you must, at our option, return or destroy any copies of the materials you have made from the ActExs Services.

Disclaimer

We provide the ActExs Services on an ‘as-is’ basis and do not guarantee that the ActExs Services will be available or fault free and do not accept any liability for any errors or omissions. We may suspend or terminate the ActExs Services without notice at any time if we feel this is necessary.

We provide the content on the ActExs Services in good faith but give no warranty of representation that any content is accurate, complete or up-to-date, nor that the ActExs Services do not infringe the rights of any third party.

We accept no responsibility or liability for your reliance on the ActExs Services and any reliance is entirely at your own risk. While we take reasonable precautions to prevent the existence of computer viruses and/or other malicious programs in the ActExs Services, we accept no liability for them.

Liability

If we take legal action against you for any breach of these Terms and a court makes an award in our favour you will be responsible for all costs allowable by the Courts.

You agree to compensate us and defend us fully from any claims or damages arising from any breach by you of these Terms, including any claims or legal proceedings brought against us by any other person as a result of any breach.

We do not seek to exclude liability for fraudulent misrepresentation by us or our employees or agents. Nothing in these Terms is intended to affect your statutory rights (including your right to a reasonable standard of service). For more information about your statutory rights please contact your local Citizens Advice Bureau or Trading Standards Office.

If we breach these Terms we shall only be liable for losses which are a reasonably foreseeable consequence of the breach. Losses are foreseeable where they could be contemplated by you and us at the time of entering into this Agreement. However, we are not responsible for: (a) any losses not caused by our breach; (b) indirect losses which are a side effect of the main loss or damage and which are not reasonably foreseeable by you and us at the time of entering into these Terms, for example loss of profits or loss of opportunity; and/or (c) any liability that we disclaim in the ‘Disclaimer’ section above.

General

We may communicate with you via, and post relevant notifications on, all channels and means you agree to, including where applicable social networks and services. If you breach these Terms and we take no action against you, we will still be entitled to use our rights and remedies in any other situation where you breach these Terms.

If any part of these Terms is disallowed or found to be ineffective by any court or regulator, the other provisions shall continue to apply.

These Terms are not intended to give rights to anyone except you and us.

We will do our best to resolve any disputes over these Terms. If you wish to take court proceedings against us you must do so within the courts of Germany in Berlin. Germany law shall apply.
